These Terms of Service (“Terms”) govern access to and use of the AccuMembership software and related services (“Service”) provided by Engineerica Systems, Inc. (“Engineerica,” “we,” “our,” or “us”).
By accessing or using the Service, you (“Customer”) agree to be bound by these Terms.
1. Use of the Service
Engineerica grants Customer a limited, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service during the subscription term solely for Customer’s internal organizational purposes.
Customer agrees to use the Service in compliance with all applicable laws and regulations.
2. Accounts and Organizational Responsibilities
Customer must provide accurate and complete registration information and maintain the confidentiality of login credentials.
Customer represents that it is authorized to enter into this agreement on behalf of its organization.
The Service is intended for use by Customer as an organization to manage its members, membership fees, communications, and related activities. Customer is responsible for all users under its account and for ensuring that its collection, use, and disclosure of member information complies with applicable laws and that any required notices or consents are obtained.
Customer is responsible for all activity occurring under its account.
Each user must have unique login credentials. Credentials may not be shared or used by more than one individual unless expressly permitted by the subscription plan. Customer may create additional user accounts in accordance with purchased subscription limits.
Engineerica reserves the right to review account usage to verify compliance with subscription limits.
3. Customer Data and Content
“Content” means any data, information, files, or materials submitted to the Service.
Customer retains all rights to its Content. Customer grants Engineerica a limited license to host, process, transmit, and display Content solely to provide and improve the Service.
Customer is solely responsible for the accuracy, legality, and appropriateness of Content.
Engineerica does not pre-screen Content but reserves the right to remove Content that violates these Terms or applicable law.
4. Privacy and Data Responsibility
Customer is responsible for ensuring that it has the legal right to collect, use, and provide personal data to Engineerica for processing in connection with the Service.
Engineerica will process such data solely to provide and support the Service.

Engineerica implements reasonable administrative, technical, and physical safeguards designed to protect Customer data. However, no system is completely secure.
5. Fees, Billing, and Payment Processing
All fees are billed in advance and are non-refundable except as expressly stated in these Terms. There will be no refunds or credits for partial months of service, change of license type refunds, or refunds for months unused with an annual account. In order to treat everyone equally, no exceptions will be made.
Fees exclude applicable taxes, levies, or duties which Customer is responsible for paying (excluding taxes Engineerica is required to collect).
Failure to pay may result in suspension or termination of the Service.
Downgrading or modifying a subscription plan may result in reduced functionality, capacity, or access to features, including possible deletion or inaccessibility of Content. Customer is responsible for exporting or backing up Content prior to making such changes.
Payment Processing
The Service may integrate with third-party payment processors selected and configured by Customer, such as Stripe. Payment transactions are processed directly by such providers.
Engineerica does not collect, store, transmit, or process full payment card information and is not responsible for the performance, security, or compliance of third-party payment processors.
Customer is solely responsible for its payment processing arrangements and compliance with applicable payment rules and financial regulations. Engineerica is not a party to payment transactions between Customer and its members.
The Service may store limited payment-related metadata (such as transaction status or identifiers) for reporting and operational purposes.
Price Changes
Engineerica may change subscription fees or introduce new charges. Price changes will become effective upon renewal of the subscription term or as otherwise communicated with reasonable advance notice.
30-Day Refund Policy
If Customer cancels within thirty (30) days of initial purchase, Customer is eligible for a full refund. After this period, all payments are non-refundable.
6. Subscription Changes and Cancellation
To cancel a subscription, Customer must submit a written cancellation request by email or support ticket. Verbal cancellation requests are not valid.
Cancellation requests must be submitted by an authorized administrator and will be effective at the end of the current billing period unless otherwise specified.
Customer remains responsible for all charges incurred prior to the effective cancellation date.
Upon termination, access to the Service may be disabled and Content may be deleted after a reasonable retention period (usually 30 days). Customer is responsible for exporting data prior to termination.
7. Modifications to the Service
Engineerica may enhance, modify, update, or discontinue the Service (or any part thereof) at any time.
Enhancements and new features will be considered part of the Service and subject to these Terms.
Engineerica may deploy updates, bug fixes, or security patches without prior notice. Engineerica will use reasonable efforts to provide advance notice of scheduled maintenance expected to result in Service downtime.
Engineerica reserves the right to suspend or limit usage if Customer use materially exceeds normal usage patterns and adversely affects system performance.
8. Changes to These Terms
Engineerica may update these Terms from time to time. If material changes are made, Engineerica will provide reasonable notice.

Continued use of the Service after updated Terms become effective constitutes acceptance of the changes.
9. Acceptable Use
Customer agrees not to:
- Use the Service for unlawful purposes
- Reverse engineer, decompile, or attempt to extract source code
- Interfere with or disrupt the Service
- Transmit malware, spam, or harmful content
- Attempt unauthorized access to the Service
Customer is solely responsible for communications sent through the Service and must comply with applicable communications and anti-spam laws.
10. Intellectual Property
The Service and all related software, design, and materials (excluding Customer Content) are owned by Engineerica and protected by intellectual property laws.
Customer may not copy, modify, distribute, or create derivative works without written permission.
11. Third-Party Services
The Service may rely on third-party providers. Engineerica is not responsible for their performance or availability.

Support levels may vary by subscription plan.
13. Warranty Disclaimer
The Service is provided on an “as is” and “as available” basis.
Engineerica disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Engineerica does not warrant that the Service will be uninterrupted, error-free, or meet Customer expectations.
14. Limitation of Liability
Engineerica’s total liability will not exceed the amount paid by Customer in the twelve (12) months preceding the claim.
Engineerica will not be liable for indirect, incidental, consequential, or punitive damages.
15. Indemnification
Customer agrees to indemnify and hold harmless Engineerica from claims arising from Customer use of the Service, Customer Content, or violation of these Terms.
16. Termination
Engineerica may suspend or terminate access if:
- Customer violates these Terms
- payment obligations are not met
- use poses security or legal risk
- conduct is abusive, fraudulent, or disruptive
Engineerica may also decline to provide or renew the Service for legitimate business reasons.
17. Data Retention and Deletion
Engineerica may delete Content after termination following a reasonable retention period. Customer is responsible for exporting data prior to termination.
18. Force Majeure
Engineerica is not liable for failure or delay due to causes beyond reasonable control.
19. Governing Law and Arbitration
These Terms are governed by Florida law.
Disputes will be resolved by binding arbitration administered by the American Arbitration Association. Customer waives jury trial and class actions.
20. Assignment
Customer may not assign this agreement without Engineerica’s prior written consent.
Engineerica may assign this agreement in connection with a merger, acquisition, reorganization, or sale of assets.
