These Terms of Service (“Terms”) govern access to and use of the Accudemia software and related services (the “Service”) provided by Engineerica Systems, Inc. (“Engineerica,” “we,” “our,” or “us”).
By accessing or using the Service, Customer agrees to be bound by these Terms.
1. Use of the Service
Engineerica grants Customer a limited, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service during the subscription term for educational and administrative purposes.
The Service is intended for use by educational institutions and their authorized users, including administrators, staff, tutors, advisors, faculty members, and students.
2. Accounts and Authorized Users
Customer is responsible for all users granted access to the Service.
Each user must maintain unique login credentials. Shared accounts are not permitted.
Customer is responsible for:
- Assigning appropriate user permissions;
- Managing account access;
- Disabling accounts no longer requiring access; and
- Ensuring compliance with institutional policies.
Users are responsible for maintaining the confidentiality of their login credentials and authentication methods and must not share them with any other person.
User accounts are intended for individual use and may not be shared among multiple individuals.
Customer shall promptly disable or remove access for users who no longer require access to the Service.
3. Student Records and FERPA
Customer acknowledges that information stored within the Service may constitute educational records subject to the Family Educational Rights and Privacy Act (“FERPA”) and other applicable educational privacy laws.
Engineerica acts as a school official with a legitimate educational interest solely for the purpose of providing the Service.
Customer retains ownership and control of all educational records and remains responsible for:
- Determining what information is entered into the Service;
- Obtaining any required permissions or consents;
- Complying with FERPA and other applicable laws; and
- Responding to student or parent requests regarding educational records.
Engineerica does not acquire ownership of educational records.
4. Customer Data Ownership
All student records, attendance records, appointment records, tutoring records, advising records, assessment records, notes, reports, and other Customer data entered into the Service remain the property of Customer.
Engineerica:
- Uses Customer data solely to provide, maintain, secure, and improve the Service;
- Does not sell Customer data;
- Does not use Customer data for third-party advertising or marketing purposes;
- May communicate with Customer regarding the Service, support, training opportunities, product updates, webinars, events, and related educational resources; and
- Does not disclose Customer data except as required to provide the Service or comply with legal obligations.
5. Fees and Payment
Subscription fees are billed in advance according to Customer’s selected subscription plan.
- Subscription fees are non-refundable;
- Partial subscription periods are not refundable; and
- Downgrading a subscription may result in reduced functionality, storage, or access to certain features.
All fees are exclusive of applicable taxes, levies, duties, or similar governmental charges. Customer shall be responsible for payment of any such taxes or charges associated with the purchase of products or services under these Terms, except taxes based on Engineerica’s net income.
Where required by law, Engineerica may collect and remit applicable taxes. If Customer is exempt from any applicable tax, Customer shall provide valid exemption documentation upon request.
Engineerica reserves the right to suspend or terminate Service for delinquent accounts.
Optional Services
Certain features of the Service, including SMS/text messaging, may require the purchase of additional usage credits or services. Such fees are described in the applicable pricing documentation, order form, or subscription plan.
Fee Changes
Engineerica reserves the right to modify subscription fees and pricing for the Service from time to time.
For existing subscriptions, any fee changes will become effective upon the Customer’s next renewal term following at least thirty (30) days’ notice.
For new subscriptions, the pricing in effect at the time the subscription is purchased shall apply.
Notice of fee changes may be provided by email, through the Service, on the Accudemia website, or through other reasonable means.
If Customer does not agree to a fee change, Customer’s sole remedy is to decline renewal of the Service prior to the start of the renewal term.
6. Subscription Plans and License Scope
Customer may use the Service only in accordance with the subscription plan purchased.
Subscription plans may include limitations on the number of licensed centers, students, users, features, support services, or other usage metrics.
The features, limitations, and pricing associated with each subscription plan are described in the applicable order form, subscription agreement, pricing documentation, or published license descriptions.
A subscription purchased for a specific number of centers may only be used by those licensed centers and may not be expanded to additional centers without the appropriate subscription upgrade.
Customer may not exceed the limits associated with its subscription plan. Engineerica reserves the right to verify compliance with subscription limits and require Customer to upgrade its subscription if usage exceeds the licensed scope.
7. Cancellation and Termination
Customer may cancel the Service by providing written notice to Engineerica.
- Subscription fees already paid are non-refundable;
- Cancellation becomes effective at the end of the current subscription term; and
- No refunds are provided for unused portions of the subscription term.
Engineerica may suspend or terminate access to the Service for:
- Violation of these Terms;
- Non-payment;
- Fraudulent or unlawful activity; or
- Activity that threatens the security, stability, or operation of the Service.
Upon expiration or termination of the subscription, Customer’s right to access and use the Service shall immediately cease. Customer and its users will no longer be able to access the Service or Customer data.
8. Data Retention
Customer is responsible for obtaining any reports, exports, or other information available through the Service prior to expiration or termination of its subscription.
Upon expiration or termination of the subscription, Customer’s right to access and use the Service shall immediately cease. Customer and its users will no longer be able to access the Service or Customer data.
Customer data may remain stored for a limited period following expiration or termination. Unless otherwise agreed by Engineerica in writing, Customer data and account information may be permanently deleted approximately thirty (30) days after expiration or termination of the subscription.
Engineerica may, at its sole discretion, provide custom data export services following expiration or termination. Such services, if offered, may be subject to professional service fees and are not included as part of the subscription.
Copies of Customer data contained in system backups may persist for a limited period thereafter as part of Engineerica’s normal backup retention processes. Such backup copies are also scheduled for deletion in accordance with Engineerica’s retention policies.
Once Customer data and applicable backup copies have been deleted, the data is permanently removed and may no longer be available for recovery, restoration, export, or access by either Customer or Engineerica.
9. Technical Support
Engineerica provides technical support for the Service in accordance with its Support Policy.
Support may include:
- Software updates and maintenance releases;
- Assistance with use of the Service;
- Troubleshooting reported issues; and
- Assistance in error isolation and correction.
Support is provided on a reasonable-efforts basis and response times are goals rather than guarantees.
Customer must designate authorized support representatives (“Technical Contacts”) who may contact Engineerica for support assistance. The number of permitted Technical Contacts, available support channels, support hours, and other support terms are described in the Support Policy.
Engineerica reserves the right to charge additional fees for services that fall outside the scope of standard technical support, including custom services, extended training, data services, consulting, or other professional services.

10. Security and Accessibility
Engineerica maintains commercially reasonable administrative, technical, and physical safeguards designed to protect Customer data.
Engineerica strives to support accessibility in accordance with applicable standards and best practices.
Additional security and accessibility documentation, including applicable HECVAT and VPAT materials, may be made available upon request.
Customer remains responsible for managing user permissions and access rights within the Service.
11. Security Reporting and Responsible Disclosure
Engineerica appreciates responsible reporting of potential security vulnerabilities affecting the Service.
If you believe you have identified a security vulnerability in the Service, we encourage you to report it responsibly and privately in accordance with our Vulnerability Disclosure Policy:

Reports must be made in good faith and must not involve unauthorized access to educational records, student information, confidential data, user accounts, or other resources.
Activities that disrupt the Service, compromise data, violate applicable laws, or attempt to obtain compensation through threats, public disclosure, coercion, or other improper means are strictly prohibited.
Engineerica reviews reported vulnerabilities in accordance with its internal processes. Unless expressly agreed in writing in advance, Engineerica does not operate a bug bounty or vulnerability reward program and does not provide compensation for vulnerability reports.
12. Third-Party Service Providers
Customer acknowledges that Engineerica utilizes third-party service providers, hosting providers, infrastructure providers, security providers, communications providers, artificial intelligence providers, and other vendors to operate, maintain, secure, and support the Service.
Such providers may supply hosting, storage, networking, communications, messaging, security, content delivery, backup, monitoring, artificial intelligence, and related services necessary for operation of the Service.
Engineerica may change such providers from time to time in the ordinary course of business. Engineerica remains responsible for the operation of the Service in accordance with these Terms but may rely upon such third-party providers to deliver portions of the Service.
13. AI-Assisted Features
The Service may include optional AI-assisted features designed to help users generate, summarize, revise, or improve content.
When AI-assisted features are used, Customer is responsible for reviewing and validating any generated output before relying upon or distributing it.
Engineerica may utilize third-party artificial intelligence service providers to support such functionality. Engineerica does not intentionally submit student names, student identification numbers, email addresses, or other personally identifiable student information to such providers as part of these features.
Users are encouraged to avoid including educational records, personally identifiable student information, or other confidential information when submitting content to AI-assisted features.
AI-generated content may contain inaccuracies, omissions, or unintended results. Engineerica does not guarantee the accuracy, completeness, or suitability of AI-generated content.
14. Modifications to the Service
Engineerica may enhance, modify, update, or discontinue the Service (or any part thereof) at any time.
Enhancements, updates, and new features, including additional tools, functionality, reports, modules, integrations, mobile applications, or resources, shall be considered part of the Service and subject to these Terms.
Features, modules, integrations, mobile applications, reports, and functionality may vary by subscription plan and may be added, modified, replaced, or discontinued over time.
Engineerica may deploy updates, bug fixes, maintenance releases, or security patches without prior notice.
Engineerica will use reasonable efforts to provide advance notice of scheduled maintenance expected to result in service interruptions.
Customer acknowledges that the Service may evolve over time through updates, enhancements, feature changes, pricing adjustments, or the retirement of functionality. Except as expressly stated in these Terms, Engineerica shall not be liable for such changes or their impact on Customer’s use of the Service.
15. Acceptable Use
Customer agrees not to:
- Use the Service for unlawful purposes;
- Share user credentials;
- Attempt unauthorized access to accounts or systems;
- Reverse engineer, decompile, or disassemble the Service;
- Transmit, upload, distribute, or introduce any viruses, worms, malware, ransomware, malicious code, or other harmful or destructive technology;
- Use the Service to transmit unsolicited bulk communications, spam, junk mail, chain letters, or other unauthorized communications; or
- Interfere with the operation, security, or availability of the Service.
Engineerica reserves the right, but not the obligation, to investigate suspected violations of these Terms and to remove content, suspend accounts, or restrict access to the Service when Engineerica reasonably believes such action is necessary to comply with law, protect the rights of others, protect Customer data, maintain system security, or enforce these Terms.
Engineerica may temporarily limit, suspend, or restrict access to the Service if Customer’s use of the Service materially threatens the security, stability, availability, or performance of the Service or other customers’ use of the Service.
16. Intellectual Property
The Service and all related software, documentation, designs, trademarks, and materials are owned by Engineerica and protected by intellectual property laws.
Customer retains ownership of Customer data.
No rights are granted except as expressly stated in these Terms.
17. Employee and Contractor Non-Solicitation
During the term of the subscription and for twelve (12) months thereafter, Customer shall not knowingly solicit for employment or engagement any employee or contractor of Engineerica with whom Customer had direct business contact through the Service or related support, consulting, or professional services.
This provision shall not prohibit general employment advertisements or solicitations that are not specifically directed toward Engineerica personnel.
18. Warranty Disclaimer
The Service is provided “as is” and “as available.”
To the maximum extent permitted by law, Engineerica disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Engineerica does not warrant that the Service will be uninterrupted, error-free, or completely secure.
19. Limitation of Liability
To the maximum extent permitted by law, Engineerica’s total liability arising out of or relating to the service shall not exceed the total fees paid by customer during the twelve (12) months preceding the event giving rise to the claim.
In no event shall Engineerica be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or business interruption.
20. Indemnification
Customer agrees to indemnify and hold harmless Engineerica from claims arising from:
- Customer’s use of the Service;
- Customer data;
- Violation of applicable laws; or
- Violation of these Terms.
21. Assignment
Customer may not assign these Terms without Engineerica’s prior written consent.
Engineerica may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
22. Governing Law and Arbitration
These Terms are governed by the laws of the State of Florida.
Any dispute arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in Seminole County, Florida.
Customer waives any right to participate in class-action litigation or class-action arbitration.
23. Changes to These Terms
Engineerica may update these Terms from time to time.

Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.
24. Entire Agreement
These Terms constitute the entire agreement between Customer and Engineerica regarding the Service and supersede all prior agreements, understandings, and communications relating to the Service.
